1. Overview and Acceptance
These Terms & Conditions (“Terms”) govern your access to and use of the website thinkscoopinc.com (the “Site”) and, where applicable, any pre‑contract discussions or informational materials you access through the Site. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use the Site.
These Terms do not replace or modify any specific contract you may enter into with Thinkscoop for professional services (for example, a master services agreement, Statement of Work, data processing agreement, or similar “Client Agreement”). To the extent of any inconsistency, the relevant Client Agreement will prevail for the services it covers.
2. About Thinkscoop
The Site is operated by Thinkscoop (“Thinkscoop”, “we”, “us”, or “our”), a software and AI consultancy headquartered at 40C, Aero Arcade, G-Block, Aerocity Near International Airport, Mohali, Punjab 140603, India. References to “you” or “your” mean the individual using the Site and, where applicable, the organisation on whose behalf that individual is acting.
3. Use of the Site
You agree that you will:
- use the Site only for lawful business purposes and in accordance with these Terms;
- not attempt to gain unauthorised access to any systems or networks;
- not introduce malware, scripts, or other harmful code;
- not use the Site in a way that could damage, disable, overburden, or impair it;
- not copy, frame, scrape, or mirror any part of the Site without our prior written consent (other than as necessary for normal browser use); and
- not use the Site to infringe any rights (including intellectual property, privacy, or confidentiality rights) of Thinkscoop or any third party.
4. Services and Client Agreements
Information on the Site about our services, case studies, or example outcomes is provided for general information only and does not constitute an offer, guarantee, or commitment to deliver specific results. Any engagement for professional services is subject to a separate written Client Agreement, which will define:
- the scope of work and deliverables;
- timelines and dependencies;
- fees, payment terms, and taxes; and
- rights and obligations of each party.
In the event of conflict between these Terms and a Client Agreement, the Client Agreement will govern the provision of the relevant services.
5. Intellectual Property
5.1 Site content
Unless otherwise stated, all content on the Site, including text, graphics, logos, icons, images, videos, code, and design (“Site Content”), is owned by or licensed to Thinkscoop and is protected by intellectual property laws. You may view and download a copy of the Site Content for your own internal business evaluation purposes only and not for further distribution, publication, or commercial exploitation.
5.2 Client deliverables
Ownership and licensing of any software, models, documentation, or other deliverables created by Thinkscoop in the course of an engagement will be governed by the applicable Client Agreement. Unless explicitly agreed otherwise in writing, Thinkscoop retains ownership of its pre‑existing intellectual property, know‑how, templates, and tools, and grants clients only those rights expressly set out in the Client Agreement.
6. Confidentiality
Any non‑public information that you share with us through the Site or during pre‑sales discussions may be treated as confidential in line with industry practice. Formal confidentiality obligations, including mutual non‑disclosure commitments, are typically documented in NDAs or Client Agreements. You should avoid sharing highly sensitive information via unencrypted channels or basic contact forms.
7. Data Protection and Privacy
Our use of personal data in connection with the Site is described in our Privacy Policy. By using the Site, you acknowledge that we will process personal data in accordance with that policy.
8. Third‑Party Links and Tools
The Site may contain links to third‑party websites or embed content and tools operated by third parties (for example, scheduling or analytics providers). These are provided for convenience only. We do not control and are not responsible for the content, security, or privacy practices of any third‑party sites or services. Your use of such sites is at your own risk and subject to their terms and policies.
9. Disclaimers
The Site and all Site Content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Thinkscoop disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.
Without limiting the foregoing, we do not warrant that the Site will be uninterrupted, secure, or error‑free, or that any content will be accurate, complete, or up to date. Any reliance you place on information on the Site is strictly at your own risk.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Thinkscoop and its directors, employees, and contractors will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of (or inability to use) the Site.
Where liability cannot be excluded, our total aggregate liability arising out of or relating to the Site will be limited to INR 50,000. This limitation does not affect any liability we may have to you under a Client Agreement, which will be governed by that agreement's limitation of liability clause.
11. Indemnity
You agree to indemnify and hold harmless Thinkscoop and its directors, employees, and contractors from and against any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of or in connection with:
- your breach of these Terms; or
- your misuse of the Site or Site Content.
12. Suspension and Termination
We may suspend or restrict access to the Site, or part of it, at any time and for any reason, including for maintenance, security, misuse, or where we reasonably believe you have breached these Terms. These Terms will continue to apply to any use of the Site prior to termination.
13. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non‑contractual disputes or claims) are governed by and construed in accordance with the laws of India.
The courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction over any such dispute or claim, subject to any dispute resolution mechanism set out in an applicable Client Agreement.
14. Changes to These Terms
We may update these Terms from time to time, for example to reflect changes to the Site, our services, or applicable law. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Site after any changes have been posted constitutes your acceptance of the updated Terms.
